Terms of Service

These Terms govern your use of services provided by Suphy Direct Limited, including IPv4 address leasing, network infrastructure services, and retail e-commerce. By engaging our services or placing an order you agree to these Terms.

1. The parties

"We", "us", and "Suphy Direct" mean Suphy Direct Limited, a company incorporated in Hong Kong (Company No. 78550392), registered office at Unit E01, 10/F, Wong King Industrial Building, 2-4 Tai Yau Street, San Po Kong, Hong Kong. "You" and "Customer" mean the legal entity or individual purchasing services or goods from us.

Where required by applicable consumer-protection law or marketplace policy, eligible items may be returned within fourteen days of delivery for a refund, less reasonable handling charges. Items that are perishable, custom-made, or used cannot be returned. Specific marketplace policies may override these terms where they offer broader protection to the buyer.

7. Warranties and disclaimers

We provide services with reasonable skill and care. Except as expressly stated in these Terms or required by law, all services and goods are supplied on an "as is" basis and we disclaim any other implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms is limited to the fees paid by the Customer to Suphy Direct in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or revenue.

9. Indemnity

You agree to indemnify and hold harmless Suphy Direct, its directors, employees, and agents against any claim arising from your use of the leased IP space, your activities on third-party networks, or any breach of these Terms or the Acceptable Use Policy.

10. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in the course of the relationship and will use it only to perform its obligations under these Terms.

11. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, or major internet outages.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, save that we may bring proceedings to recover unpaid fees or to protect our intellectual property in any competent jurisdiction.

13. Changes to these Terms

We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Material changes affecting active customers will be communicated by email at least thirty days before they take effect.
