Terms of Service
These Terms govern your use of services provided by Suphy Direct Limited, including IPv4 address leasing, network infrastructure services, and retail e-commerce. By engaging our services or placing an order you agree to these Terms.
1. The parties
"We", "us", and "Suphy Direct" mean Suphy Direct Limited, a company incorporated in Hong Kong (Company No. 78550392), registered office at Unit E01, 10/F, Wong King Industrial Building, 2-4 Tai Yau Street, San Po Kong, Hong Kong. "You" and "Customer" mean the legal entity or individual purchasing services or goods from us.
2. Services
2.1 Network infrastructure
- IPv4 address leasing — non-transferring leases of routable prefixes for use in your own network.
- RPKI signing & ROA management — issuance and maintenance of Route Origin Authorisations.
- Letter of Authorisation & consulting — documentation and guidance to support upstream activation.
2.2 Retail e-commerce
- Sale of consumer goods through our owned channels and third-party online marketplaces.
- Sourcing, fulfilment, shipping, and after-sales support handled by us or by appointed logistics partners.
3. Customer obligations
- Provide accurate identification, billing, and technical information, and update it when it changes.
- Use leased IP space only within the policies of the originating Regional Internet Registry and within the Acceptable Use Policy.
- For retail orders, provide a valid shipping address and accept lawful delivery; comply with import regulations of the destination country.
- Not resell, sublease, or otherwise transfer leased IP space without our written consent.
4. Fees and payment
- Lease fees are payable monthly or as agreed in writing. Invoices are due within fourteen days of issue unless otherwise stated.
- Retail orders are payable at checkout via our designated payment provider.
- Late payment may result in suspension of leased space, withdrawal of the Letter of Authorisation, or refusal of further orders.
- All fees are exclusive of taxes; you are responsible for any applicable tax, duty, or levy in your jurisdiction.
5. Term and termination
- Lease contracts run for the term agreed at signing and renew on the agreed cadence unless either party gives written notice.
- We may terminate any service immediately for material breach, including violations of the Acceptable Use Policy or non-payment.
- On termination of an IP lease, all routing of the prefix must cease and the corresponding LOA is revoked.
6. Returns and refunds (retail)
Where required by applicable consumer-protection law or marketplace policy, eligible items may be returned within fourteen days of delivery for a refund, less reasonable handling charges. Items that are perishable, custom-made, or used cannot be returned. Specific marketplace policies may override these terms where they offer broader protection to the buyer.
7. Warranties and disclaimers
We provide services with reasonable skill and care. Except as expressly stated in these Terms or required by law, all services and goods are supplied on an "as is" basis and we disclaim any other implied warranties, including merchantability and fitness for a particular purpose.
8. Limitation of liability
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms is limited to the fees paid by the Customer to Suphy Direct in the three months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including loss of profits or revenue.
9. Indemnity
You agree to indemnify and hold harmless Suphy Direct, its directors, employees, and agents against any claim arising from your use of the leased IP space, your activities on third-party networks, or any breach of these Terms or the Acceptable Use Policy.
10. Confidentiality
Each party will keep confidential any non-public information disclosed by the other in the course of the relationship and will use it only to perform its obligations under these Terms.
11. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, acts of government, war, civil unrest, or major internet outages.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the exclusive jurisdiction of the courts of Hong Kong, save that we may bring proceedings to recover unpaid fees or to protect our intellectual property in any competent jurisdiction.
13. Changes to these Terms
We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Material changes affecting active customers will be communicated by email at least thirty days before they take effect.
